Licensing

1. Introduction

This Licensing Agreement ("Agreement") governs the licensing terms for services, software, and deliverables provided by Hilefp ("we," "us," or "our"). By engaging our services or using our deliverables, you ("Client" or "you") agree to these licensing terms.

2. Types of Licenses

2.1 Custom Development License

For custom development projects, upon full payment of all fees, the Client receives:

• Full ownership of custom-developed code and assets specifically created for the Client
• Perpetual, worldwide, non-exclusive rights to use, modify, and distribute the deliverables
• Source code and documentation related to custom development

2.2 Retained Rights

Hilefp retains ownership and rights to:

• Pre-existing frameworks, libraries, and components
• Development methodologies and processes
• Reusable code modules and templates
• General knowledge and techniques gained during the project

2.3 Third-Party Licenses

Projects may incorporate third-party libraries, frameworks, or services (e.g., React, Astro, WordPress plugins) that are subject to their own licenses. Clients are responsible for complying with these third-party licenses.

3. Website Development License

3.1 Website Deliverables

Upon completion and full payment, the Client receives:

• Ownership of custom website design and layout
• Rights to website content created by Hilefp
• Access to source files and codebase
• Documentation for website management

3.2 Restrictions

Clients may not:

• Resell or redistribute Hilefp's proprietary tools or frameworks
• Remove or modify Hilefp's attribution in code comments (optional attribution in public-facing areas may be removed)
• Reverse engineer proprietary systems
• Use deliverables to create competing services

4. Support and Maintenance License

4.1 Ongoing Services

For clients with ongoing support or maintenance agreements:

• License remains active during the subscription period
• Access to updates and improvements
• Technical support as outlined in the service agreement

4.2 Termination

Upon termination of maintenance services, the Client retains ownership of all deliverables received up to that point but loses access to future updates and support.

5. Portfolio and Marketing Rights

5.1 Hilefp's Rights

Unless explicitly agreed otherwise in writing, Hilefp reserves the right to:

• Display completed projects in our portfolio
• Use project screenshots and descriptions for marketing purposes
• Reference the Client as a client (with Client's approval)
• Create case studies highlighting the project (with Client's approval)

5.2 Confidential Projects

For projects under NDA or marked as confidential, we will not display or reference the work without explicit written permission from the Client.

6. Open Source Components

6.1 Usage of Open Source

We frequently use open source software in our projects. Common frameworks and libraries include:

• React (MIT License)
• Astro (MIT License)
• Next.js (MIT License)
• TailwindCSS (MIT License)
• Laravel (MIT License)

6.2 Compliance

We ensure all open source components are used in compliance with their respective licenses. Clients inherit these licensing obligations for their use of the deliverables.

7. Content License

7.1 Client-Provided Content

For content provided by the Client (text, images, videos, logos):

• Client retains full ownership
• Client grants Hilefp a non-exclusive license to use the content for project purposes
• Client warrants they have rights to all provided content

7.2 Stock Resources

Stock photos, icons, or other resources used in projects are subject to their own licensing terms. We ensure proper licensing for all stock resources, and these licenses transfer to the Client where applicable.

8. Payment and License Activation

8.1 Payment Terms

Full rights and licenses are transferred upon:

• Complete payment of all invoiced amounts
• Project delivery and client acceptance
• Resolution of any outstanding issues

8.2 Non-Payment

In the event of non-payment, Hilefp retains all rights to the work product until payment is received in full. We reserve the right to disable or remove deployed applications until payment is resolved.

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that:

• Deliverables will substantially conform to agreed specifications
• We have the right to grant the licenses described herein
• Our work does not knowingly infringe on third-party intellectual property rights

9.2 Disclaimer

Except as expressly stated, deliverables are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

10. Indemnification

Hilefp agrees to indemnify the Client against claims that our original work infringes on third-party intellectual property rights, provided we are promptly notified of such claims. The Client agrees to indemnify Hilefp against claims arising from Client-provided content or modifications made by the Client or third parties.

11. Modification of Terms

These licensing terms may be modified or supplemented by individual project agreements. In case of conflict, the terms in the specific project agreement will prevail.
